1. Acceptance and operator
Naity9 (the "Service" or "we") is a software consultancy and development firm specialized in artificial intelligence, operated by Naity9 LLC, a company organized in the State of New Mexico, United States. These Terms govern your use of this website and the engagement of our services.
By using the site or engaging our services you accept these Terms and our Privacy Policy. If you do not agree, do not use the site or engage the services.
2. Our services
We offer custom software development, process automation, system integration, agent development and artificial-intelligence solutions, and related consulting.
The scope, deliverables, timeline and price of each project are defined in a specific proposal or contract agreed with the client, which prevails over these Terms in case of conflict.
3. Proposals, payments and timelines
Each project starts with a proposal detailing scope, schedule and costs. Payments, milestones and billing terms are set out in that proposal or contract.
Unless otherwise agreed, amounts paid are non-refundable for work already performed. Timelines are estimates and may shift due to scope changes or client dependencies.
4. Client responsibilities
The client agrees to provide the necessary information, access and approvals in a timely manner, and to hold the rights to the materials and data it provides to us.
The client is responsible for the use it makes of the deliverables and for complying with the laws applicable to its business, including obtaining the necessary consents from its own users or customers.
5. Intellectual property
Unless the contract states otherwise, once paid in full the client owns the deliverables developed specifically for its project.
Naity9 retains ownership of its know-how, tools, libraries and pre-existing or general-purpose components, and grants the client a license to use them as part of the deliverables. The "Naity9" marks are owned by Naity9 LLC.
6. Confidentiality
Each party agrees to protect the other's confidential information and to use it only for the project.
We may mention the client and describe the work performed for portfolio purposes, unless otherwise agreed in writing.
7. Warranties and disclaimer
The website is provided "as is", without warranties of any kind. Services are provided professionally and diligently as agreed in each contract.
AI-assisted solutions may produce inaccurate results; the client must verify them before making decisions.
8. Limitation of liability
To the maximum extent permitted by law, Naity9 shall not be liable for indirect, incidental or consequential damages, nor for lost profits or data loss.
Naity9's total liability shall not exceed the amount actually paid by the client for the project that gave rise to the claim.
9. Governing law and language
These Terms are governed by the laws of the State of New Mexico, USA. Any dispute shall be submitted to the competent courts located in that state.
These documents are provided in Spanish and English; in case of discrepancy, the English version prevails.
